IMPORTANT NOTICE: ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. BY USING OUR SERVICES, YOU AGREE TO RESOLVE ANY DISPUTES THROUGH BINDING, INDIVIDUAL ARBITRATION AND WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "user"), and ScoreAm, a subsidiary of MoStore Holdings LTD ("Company," "we," "us," or "our"), concerning your access to and use of the ScoreAm website, mobile application, and related services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Nature of Services & No Financial Advice

ScoreAm provides a platform that offers tools, analytics, estimates, and a marketplace designed to help users understand their financial profile and discover third-party financial products.

SCOREAM IS NOT A LENDER, BROKER, FINANCIAL ADVISOR, BANK, OR CREDIT BUREAU.

Any information, credit score estimates, insights, or recommendations provided by the Services are for informational and educational purposes only and do not constitute professional financial, legal, or tax advice. You are solely responsible for your financial decisions. We strongly recommend consulting with a qualified financial professional before making any financial commitment.

3. Third-Party Partners and Marketplace

Our Services may display offers, loan products, or financial services from third-party lending partners ("Partner Institutions"). We do not guarantee that you will be presented with specific offers or that you will be approved for any loan, credit card, or financial product by any Partner Institution.

All decisions regarding credit approval, terms, interest rates, and loan amounts are made exclusively by the respective Partner Institutions, not by ScoreAm. Your relationship with any Partner Institution is solely between you and that institution. ScoreAm assumes no responsibility or liability for the actions, omissions, terms, or services of any Partner Institution.

4. User Representations & Responsibilities

By using our Services, you represent and warrant that:

  • You are at least 18 years of age and hold legal capacity to form a binding contract.
  • All registration, identity (including BVN and NIN), and financial information you submit is truthful, completely accurate, and current.
  • You will maintain the accuracy of such information and promptly update it as necessary.
  • You will not use the Services for any illegal, fraudulent, or unauthorized purpose.
  • Your use of the Services will not violate any applicable law or regulation.

We reserve the right to suspend or terminate your account immediately if any information provided is discovered to be inaccurate, fraudulent, or incomplete.

5. Data Authorization

By accessing the Services, you expressly authorize ScoreAm and its authorized data partners to securely collect, process, and analyze your financial data, transaction history, and identity information necessary to generate credit insights and facilitate the Services. This processing is strictly governed by our Privacy Policy.

6. Intellectual Property Rights

Unless otherwise indicated, the Services and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein, are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. No part of the Services and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever without our express prior written permission.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES.

8. Limitation of Liability

IN NO EVENT WILL SCOREAM, MOSTORE HOLDINGS LTD, OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

9. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates (including MoStore Holdings LTD), and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

  • Your use of the Services;
  • Your breach of these Terms;
  • Any breach of your representations and warranties set forth in these Terms;
  • Your violation of the rights of a third party, including but not limited to intellectual property rights or data privacy rights.

10. Dispute Resolution & Arbitration

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Lagos, Nigeria, rather than in a court of general jurisdiction.

Class Action Waiver: You and ScoreAm agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis. Neither you nor ScoreAm will seek to have any dispute heard as a class action, a representative action, a collective action, or in any proceeding in which either party acts or proposes to act in a representative capacity.

11. Governing Law

These Terms and your use of the Services are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

12. Modifications to the Terms

We may modify these Terms at any time without prior notice. The updated version will be indicated by an updated "Last Updated" date and the updated version will be effective as soon as it is accessible. You are responsible for reviewing these Terms periodically to stay informed of updates. Your continued use of the Services represents your acceptance of the revised Terms.
