SCOREAM PARTNER AGREEMENT

ScoreAm protects the commercial relationships created through its platform. Deliberate circumvention, referral diversion, manipulation of attribution records or avoidance of contractual commissions constitutes a material breach of the Partner Agreement and may result in suspension, termination, recovery of unpaid commissions, contractual damages and pursuit of other remedies available under applicable law.

14. REFERRAL ATTRIBUTION, NON-CIRCUMVENTION, COMMISSION PROTECTION & PLATFORM INTEGRITY

14.1 Purpose and Commercial Intent

ScoreAm provides technology, credit intelligence, financial-health insights, marketplace services, customer acquisition, application processing, partner connectivity, eligibility tools, workflow automation and related services through which Partners may receive customers, leads, applications and commercial opportunities.

The Partner acknowledges that ScoreAm incurs substantial costs and resources in developing, maintaining, marketing and operating its platform and in generating, verifying, matching and facilitating customer opportunities.

Accordingly, the Partner agrees that customers, leads, applications, opportunities and transactions originating from or materially facilitated through ScoreAm shall be protected referrals and shall be subject to the referral attribution, commission, non-circumvention, audit, confidentiality, data-protection and platform-integrity provisions of this Agreement.

14.2 Definitions

For purposes of this Section:

"ScoreAm Referral"

means a customer, lead, inquiry, application, opportunity or prospective transaction that:

  1. originates through ScoreAm;
  2. is introduced to a Partner through ScoreAm;
  3. is matched to a Partner through ScoreAm;
  4. is generated through the ScoreAm Marketplace;
  5. is submitted through a ScoreAm application or website;
  6. is submitted through a ScoreAm API or SDK;
  7. is generated through a ScoreAm referral link;
  8. is generated through a ScoreAm campaign;
  9. is generated through the Partner Hub;
  10. is generated through ScoreAm Workflow Studio; or
  11. is otherwise materially facilitated by ScoreAm.

"Protected Referral"

means a ScoreAm Referral that has been assigned or is reasonably identifiable through ScoreAm's systems, records, referral identifiers, application records, API logs, consent records or other reliable evidence.

"Qualifying Transaction"

means a transaction, financing arrangement, insurance policy, credit facility, purchase, lease, mortgage, vehicle financing arrangement, loan, subscription or other commercial transaction specified in the applicable Commercial Schedule that results from or is attributable to a Protected Referral.

"Referral ID"

means the unique identifier generated by ScoreAm to identify and track a Protected Referral. (Example: SA-2026-8F72K91X)

"Attribution Period"

means the period during which a Protected Referral remains attributable to ScoreAm, as specified in the applicable Commercial Schedule.

"Commission"

means the fee payable to ScoreAm for a Qualifying Transaction in accordance with the applicable Commercial Schedule.

14.3 Protected Referral Status

A customer introduced through ScoreAm shall remain a Protected Referral notwithstanding that the customer subsequently:

  • communicates with the Partner directly;
  • visits the Partner's premises;
  • communicates through telephone, email, or WhatsApp;
  • visits a dealership or bank branch;
  • accesses the Partner's website or mobile application;
  • communicates with an employee or agent of the Partner; or
  • completes documentation through another channel.

Changing the communication channel does not by itself remove the ScoreAm attribution.

14.4 Referral Attribution

Where ScoreAm has introduced, generated, matched, referred or materially facilitated a customer opportunity, that opportunity shall be attributed to ScoreAm in accordance with the applicable Attribution Period.

ScoreAm may use reasonable technical and commercial records to establish attribution, including Referral IDs, customer application records, application timestamps, offer IDs, partner IDs, API records, webhook records, consent records, application status records, communications relating to the application, transaction records, partner reporting, payment records, and other lawfully obtained records relevant to establishing the source and progression of the transaction.

14.5 Referral ID

ScoreAm may assign a unique Referral ID to each Protected Referral.

Partners shall not intentionally remove, alter, replace, duplicate, conceal, or manipulate a Referral ID or any other ScoreAm attribution identifier for the purpose of avoiding attribution or Commission.

Where technically feasible, the Referral ID shall be transmitted through the ScoreAm API, Partner Hub, application workflow, webhook or other integration mechanism.

14.6 Attribution Period

Unless otherwise specified in a Commercial Schedule, the default Attribution Period shall be 180 days from the date on which the customer is first introduced, matched, referred or submitted to the Partner through ScoreAm.

Different products may have different Attribution Periods (e.g., Vehicle Finance: 365 days). The applicable period should be specified in the Partner's Commercial Schedule.

14.7 Non-Circumvention

The Partner shall not directly or indirectly circumvent, bypass, avoid, defeat, interfere with or attempt to defeat ScoreAm's referral, attribution, application, tracking, workflow or Commission mechanisms.

Without limitation, prohibited conduct includes:

  • (a) Direct Re-Application: Encouraging a ScoreAm customer to withdraw a ScoreAm application and submit a substantially similar application directly to the Partner for the purpose of avoiding ScoreAm's Commission.
  • (b) Off-Platform Completion: Completing a transaction outside ScoreAm for the purpose of avoiding the Commission associated with a Protected Referral.
  • (c) Duplicate Applications: Creating or encouraging the creation of a duplicate application outside ScoreAm for a Protected Referral.
  • (d) Data-Based Circumvention: Using customer information obtained through ScoreAm to initiate, complete or facilitate a transaction outside the applicable ScoreAm attribution mechanism for the purpose of avoiding Commission.
  • (e) Affiliate Circumvention: Transferring a Protected Referral to an affiliate, subsidiary, parent company, related entity, employee, agent, broker, dealer or other intermediary for the purpose of avoiding ScoreAm's Commission.
  • (f) Misrepresentation: Misrepresenting the source, status, value or nature of a ScoreAm-referred transaction.
  • (g) Customer Solicitation for Circumvention: Instructing, encouraging or inducing a ScoreAm customer to bypass ScoreAm's application or transaction process for the purpose of avoiding ScoreAm's commercial entitlement.
  • (h) System Manipulation: Manipulating, disabling, bypassing or interfering with ScoreAm's technical mechanisms designed to identify, track or attribute referrals.

14.8 No Circumvention Through Related Parties

A Partner shall not avoid its obligations by routing a ScoreAm-referred transaction through a parent company, subsidiary, affiliate, sister company, shareholder, director, employee, contractor, agent, broker, dealership, franchise, distributor, intermediary, or other person acting on the Partner's behalf.

Where a transaction is substantially connected to a Protected Referral, ScoreAm may investigate the relationship between the parties for attribution purposes, subject to applicable law.

14.9 Commission Entitlement

ScoreAm shall be entitled to the Commission specified in the applicable Commercial Schedule for every Qualifying Transaction attributable to a Protected Referral.

Commission becomes payable according to the applicable commercial milestone, which may include application approval, contract execution, loan disbursement, policy activation, vehicle delivery, property completion, customer payment, or another agreed transaction milestone. The applicable milestone shall be stated in the Partner's Commercial Schedule.

14.10 Commission Cannot Be Avoided by Transaction Restructuring

A Partner shall not avoid Commission by changing the product, changing the financing structure, changing the transaction value, transferring the customer to another product, transferring the application to an affiliate, splitting one transaction into multiple transactions, or otherwise restructuring the transaction, where the resulting transaction is substantially connected to the original Protected Referral.

The precise treatment of such transactions shall be determined in the applicable Commercial Schedule.

14.11 - 14.15 Commission Reconciliation & Auditing

Partners shall provide information reasonably necessary to reconcile applications, approvals, funded transactions, and Commission amounts. Partners shall maintain accurate records relating to ScoreAm referrals and Qualifying Transactions.

To the extent permitted by applicable law and subject to reasonable confidentiality protections, ScoreAm may audit records reasonably necessary to verify Protected Referrals, Qualifying Transactions, Commission calculations, transaction status, attribution, suspected circumvention, and compliance with this Agreement.

ScoreAm may implement reasonable technical and analytical systems to identify suspected circumvention. Where ScoreAm identifies an apparent mismatch between a Protected Referral and a reported transaction, ScoreAm may open an investigation.

14.16 Data Protection & 14.17 Customer Consent

All processing of personal data shall be conducted in accordance with applicable Nigerian data-protection law (including the Nigeria Data Protection Act) and the applicable ScoreAm Privacy Notice, Partner Agreement and data-processing arrangements.

Partners shall only access personal information necessary for an authorised purpose. Partners shall not use customer information for purposes inconsistent with the authorised purpose or applicable law.

14.18 Read-Only Credit Access & 14.19 Purpose Limitation

Where ScoreAm provides a Partner with credit information or financial-health information, access may be READ ONLY. Partners shall not modify ScoreAm credit records, download unauthorised datasets, redistribute customer credit information, sell customer information, use information for unrelated purposes, or attempt to bypass ScoreAm access controls.

Partner access to ScoreAm information shall be limited to the purpose for which access was authorised (e.g., a vehicle financing application does not automatically authorise marketing the customer unrelated products).

14.20 Suspected Material Breach & 14.21 Temporary Suspension

Where ScoreAm reasonably suspects intentional circumvention, fraud, manipulation of referral information, unauthorised data use, systematic Commission avoidance, misuse of APIs, falsification of transaction information, or other material breach, ScoreAm may initiate an investigation.

Where reasonably necessary to protect customers, ScoreAm's platform, confidential information, financial interests or regulatory obligations, ScoreAm may temporarily suspend some or all Partner access while an investigation is conducted, subject to applicable law and the Agreement.

14.22 Confirmed Circumvention

Where ScoreAm reasonably suspects a material breach, ScoreAm may investigate the matter in accordance with this Agreement. Where, following the applicable investigation and dispute process, ScoreAm determines that the Partner deliberately circumvented the platform, the remedies specified in this Agreement and the applicable Commercial Schedule shall apply.

The Partner shall remain liable for Unpaid Commission, Contractually Agreed Liquidated Damages (where specified in the applicable Commercial Schedule), Recoverable Losses, and Enforcement Costs.

14.23 - 14.31 Additional Provisions

A confirmed material breach may constitute grounds for suspension and termination of the Partner Agreement. Termination shall not release a Partner from obligations that by their nature should survive termination. The parties shall act in good faith in administering referral attribution, Commission reconciliation and dispute procedures.
